These Terms and Conditions constitute a legally binding agreement between you and Argo Technologies, LLC (“Argo Technologies,” “we,” “us,” or “our”) and govern your use of the SpotBot AI application and related services (“SpotOn Fishing” or the “Service”).

These Terms govern your use of:

The SpotOn Fishing mobile application;
SpotBot AI;
SpotOn Fishing websites;
Maps and fishing information;
Tracks, trips, voyages, routes, waypoints, reports, and journals;
Background Tracking;
Subscription services; and
Other products or services that link to these Terms.

Together, these are referred to as the “Services.”

IMPORTANT SAFETY AND LEGAL NOTICE

SPOTON FISHING IS A RECREATIONAL FISHING, MAPPING, INFORMATION, AND TRIP-RECORDING PRODUCT.

SPOTON FISHING IS NOT:

AN OFFICIAL NAUTICAL CHART;
A CERTIFIED MARINE NAVIGATION SYSTEM;
AN ELECTRONIC CHART DISPLAY AND INFORMATION SYSTEM;
A COLLISION-AVOIDANCE SYSTEM;
AN EMERGENCY-MONITORING SYSTEM;
A DISTRESS BEACON;
A SEARCH-AND-RESCUE SERVICE;
A SUBSTITUTE FOR PROPER SEAMANSHIP; OR
A LIFE-SAFETY SERVICE.

NEVER USE SPOTON FISHING AS THE SOLE OR PRIMARY MEANS OF NAVIGATION, COLLISION AVOIDANCE, EMERGENCY COMMUNICATION, OR PROTECTION OF LIFE OR PROPERTY.

1. Acceptance of Terms

By downloading, installing, accessing, creating an account, purchasing a subscription, selecting an acceptance control, or using the Services, you acknowledge that you have read, understood, and agree to:

These Terms;
The SpotOn Fishing Privacy Policy;
Applicable app-store terms; and
Additional terms presented for a particular feature.

If you do not agree, do not access or use the Services.

We may require renewed affirmative acceptance following a material update involving safety, location, privacy, liability, subscription, or dispute-resolution terms.

2. Eligibility

You must be legally capable of entering into a binding agreement.

If you use the Services for or on behalf of a company or organization, you represent that you possess authority to bind that organization.

The Services are not directed to children under 13 or a higher minimum age where applicable law requires parental authorization.

3. Accounts and Account Security

You are responsible for:

Providing accurate account information;
Keeping account information current;
Protecting login credentials;
Activities occurring through your account; and
Promptly notifying us of suspected unauthorized access.

You may not sell, assign, sublicense, or transfer your account without our written permission.

We may refuse usernames or account information that could create impersonation, safety, fraud, legal, or security risks.

4. Limited License

Subject to your compliance with these Terms, Argo Technologies grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the Services for lawful personal or authorized internal business purposes.

No ownership rights are transferred to you.

5. Recreational Fishing and Planning Purposes Only

The Services are intended to assist with:

Recreational fishing research;
General fishing-trip planning;
Displaying fishing and environmental information;
Recording tracks, trips, and voyages;
Saving waypoints and routes;
Reviewing conditions, reports, and recommendations; and
Other non-safety-critical purposes.

The Services must not be used as the sole or primary basis for deciding:

Where or how to navigate;
Whether water is safe or passable;
Whether a route is legally accessible;
Whether a vessel can clear an obstruction;
Whether water depth is sufficient;
Whether weather, tide, current, or sea conditions are safe;
Whether a location is free from hazards;
Whether emergency assistance is available;
Whether fishing is lawful in a particular place or at a particular time; or
Whether an activity is safe for you, passengers, vessels, vehicles, or property.

6. Official Charts and Authoritative Information

Always use:

Current official nautical charts;
Current notices to mariners;
Properly maintained marine navigation equipment;
Visual observations;
Depth sounders where appropriate;
Radar, AIS, compass, and other appropriate instruments;
Official weather and emergency information;
Current fishing and boating regulations; and
The judgment of a qualified vessel operator.

Information displayed through SpotOn Fishing may omit hazards, restrictions, notices, changes, warnings, or details contained in official sources.

Displaying government, public, licensed, or third-party information does not make SpotOn Fishing an official chart, certified navigation product, or official regulatory publication.

7. No Emergency, Rescue, or Monitoring Service

SpotOn Fishing is not:

An emergency beacon;
An emergency position-indicating radio beacon;
A personal locator beacon;
A satellite distress messenger;
A vessel-monitoring center;
A man-overboard system;
A collision-alert system;
A medical-alert service; or
A search-and-rescue provider.

SpotOn Fishing does not assume or undertake a duty to:

Monitor your location;
Monitor your track, trip, or voyage;
Determine whether you are safe;
Detect an accident;
Detect a collision, grounding, or capsize;
Detect a person-overboard event;
Detect a medical emergency;
Detect equipment failure;
Contact emergency services;
Notify family members or other persons;
Dispatch assistance;
Initiate a rescue;
Preserve evidence; or
Maintain location information for emergency use.

Your location information may not be monitored or reviewed by any person in real time.

Never rely on SpotOn Fishing to summon assistance. Carry suitable emergency and communication equipment and use official emergency channels.

8. Maps, Depths, Boundaries, and Data Limitations

Maps and information may contain errors, omissions, delays, approximations, generalized features, or outdated information.

SpotOn Fishing does not warrant the accuracy, completeness, location, condition, or existence of:

Shorelines;
Depth contours;
Bottom features;
Reefs;
Rocks;
Wrecks;
Shoals;
Channels;
Bridges;
Obstructions;
Buoys;
Aids to navigation;
Restricted areas;
Property boundaries;
Marine boundaries;
Fishing zones;
Regulatory boundaries;
Structures;
Boat ramps;
Marinas;
Weather;
Tides;
Currents;
Water temperature;
Chlorophyll;
Satellite imagery;
Fishing reports;
Fishing predictions;
User content; or
Other displayed information.

Actual conditions may differ materially from the Services.

9. Conditions Change

Water, marine, weather, regulatory, and environmental conditions can change rapidly.

A location or route that was previously accessible may become dangerous or unlawful because of:

Water-level changes;
Tides;
Currents;
Sedimentation;
Shoaling;
Storm damage;
Debris;
Construction;
Closures;
Temporary restrictions;
Changes to markers or aids;
Weather;
Vessel traffic;
Wildlife;
Equipment limitations; or
Other conditions.

You are solely responsible for independently evaluating current conditions.

10. Tracks and Location History Are Not Safe Routes

A track, trip, voyage, route, location history, or previously traveled path is only a software-generated historical reference.

A prior track does not establish that:

The route was safe when originally traveled;
The original location information was accurate;
The route remains safe;
The route is navigable by your vessel;
The route remains legally available;
Water depth is sufficient;
Hazards have not moved or appeared;
Conditions remain unchanged; or
Repeating the route will produce the same result.

Never follow a previous track blindly.

You remain responsible for continuous observation, maintaining a proper lookout, using appropriate navigation and safety equipment, and safely operating your vessel or vehicle.

11. Manual Tracks and Background Tracking

SpotOn Fishing may provide:

A manually initiated Track, Trip, Voyage, or similar recording feature; and
A separate Background Tracking feature using background or “Always” location access.

Stopping, saving, pausing, or ending a manual track does not necessarily disable Background Tracking.

If Background Tracking remains enabled, SpotOn Fishing may continue accessing or collecting location when:

No manual track is active;
SpotOn Fishing is minimized;
The screen is locked;
SpotOn Fishing is closed or not actively in use, subject to operating-system limitations; or
You later reopen SpotOn Fishing.

Background Tracking may allow SpotOn Fishing to preserve where you have traveled and resume or restore your location experience when you return to the App.

You are responsible for reviewing the Background Tracking status and applicable device permissions.

Do not assume that selecting “Stop Track,” “End Track,” or a similar control revokes all location access.

To stop Background Tracking, turn it off through SpotOn Fishing or revoke the applicable background or “Always” location permission through your device settings.

12. Location and Tracking Technology Limitations

Location and tracking operation may be interrupted, delayed, inaccurate, incomplete, or lost due to:

GPS or satellite availability;
Device hardware or sensors;
Device placement;
Battery level;
Power-saving settings;
Operating-system restrictions;
Background-execution limitations;
App permissions;
Cellular or internet coverage;
Server outages;
Network interruptions;
Software defects;
Updates;
Account synchronization;
Third-party services;
Weather;
Atmospheric conditions;
Terrain;
Buildings;
Vessel structures; or
Other circumstances outside SpotOn Fishing’s control.

SpotOn Fishing does not warrant that:

A track will start;
A track will continue;
A track will stop at a particular moment;
Location history will be complete;
The displayed position is exact;
Information will synchronize;
A track will be preserved;
The App will restore the correct position;
Background Tracking will operate continuously; or
Any missing or interrupted location history can be recovered.

13. Weather, Tides, Currents, and Environmental Information

Weather, tide, current, sea-state, temperature, chlorophyll, satellite, model, and environmental information may be:

Delayed;
Forecast;
Modeled;
Estimated;
Interpolated;
Incomplete;
Unavailable; or
Incorrect.

Do not rely on SpotOn Fishing as your sole source for weather or marine conditions.

Obtain information from authoritative sources and continuously observe actual conditions.

14. Fishing Information and Regulations

Fishing seasons, size limits, bag limits, protected species, closures, licensing requirements, and boundaries may change.

You are solely responsible for:

Obtaining required licenses and permits;
Confirming current regulations;
Identifying species correctly;
Following size and bag limits;
Avoiding closed or prohibited areas;
Complying with reporting requirements; and
Following all applicable laws.

SpotOn Fishing does not provide legal advice and does not guarantee that regulatory information is current, complete, or accurate.

15. SpotBot AI and Automated Recommendations

SpotBot AI and other automated tools may generate predictions, summaries, recommendations, locations, tactics, or explanations using models and available information.

Automated output may:

Be inaccurate;
Be incomplete;
Be outdated;
Misinterpret your request;
Omit hazards;
Suggest an unsuitable location;
Contain fabricated information; or
Fail to account for current conditions.

Automated output must not be used as the sole or primary basis for navigation, safety, emergency, legal, regulatory, medical, or life-safety decisions.

You are responsible for independently verifying all automated output.

16. Third-Party Information, Services, and Products

The Services may incorporate or link to information, services, or products from:

Government agencies;
Public databases;
Mapping providers;
Chart providers;
Weather providers;
Satellite providers;
Marine-data providers;
Fishing-data providers;
Artificial-intelligence providers;
Other users; and
Other third parties.

Third parties are independent entities and are not employees, agents, or partners of Argo Technologies merely because their information or services appear through SpotOn Fishing.

To the fullest extent permitted by law, the Released Parties are not responsible for independent third-party:

Acts or omissions;
Errors;
Defects;
Data inaccuracies;
Availability;
Security;
Products;
Services;
Representations;
Warranties; or
Business practices.

Third-party licenses, terms, notices, and attribution requirements may apply.

17. Safe and Lawful Operation

You are solely responsible for:

Safe vessel and vehicle operation;
Proper seamanship;
Maintaining a proper lookout;
Avoiding collisions;
Monitoring water depth and actual conditions;
Selecting safe and lawful routes;
Maintaining your vessel, vehicle, and equipment;
Carrying legally required safety equipment;
Carrying appropriate emergency communication equipment;
Protecting passengers and other persons;
Following instructions from authorities;
Following fishing, boating, environmental, traffic, and maritime laws;
Determining whether your experience and ability are adequate; and
Determining whether conditions are appropriate for an activity.

Do not hold, type into, configure, or extensively interact with the Services while actively maneuvering a vessel or vehicle.

Use a qualified passenger or stop in a safe and lawful location before interacting with the Services when interaction could cause distraction.

18. Assumption of Risk

Fishing, boating, diving, paddling, travel, and outdoor recreation involve inherent and unpredictable risks.

Risks include:

Drowning;
Collision;
Grounding;
Capsizing;
Falls;
Personal injury;
Illness;
Death;
Property damage;
Equipment failure;
Weather exposure;
Lightning;
Heat;
Cold;
Wildlife;
Submerged or unmarked hazards;
Vessel traffic;
Loss of communication;
Loss of location services;
Inaccurate information; and
Delayed emergency assistance.

To the fullest extent permitted by law, you knowingly and voluntarily assume all risks associated with:

Your use of the Services;
Your fishing, boating, travel, or recreational activities;
Your operation of a vessel or vehicle;
Your decision to visit any displayed or suggested location;
Your reliance on maps, tracks, routes, location history, reports, recommendations, automated output, forecasts, or third-party information; and
The inherent risks of outdoor and marine activity.

19. Express Release of Ordinary Negligence Claims

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU RELEASE AND DISCHARGE ARGO TECHNOLOGIES, LLC, SPOTON FISHING, AND THEIR PARENTS, SUBSIDIARIES, AFFILIATES, OWNERS, MEMBERS, SHAREHOLDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, DATA PROVIDERS, SERVICE PROVIDERS, SUCCESSORS, AND ASSIGNS, COLLECTIVELY THE “RELEASED PARTIES,” FROM CLAIMS, DEMANDS, DAMAGES, LOSSES, LIABILITIES, PERSONAL INJURIES, DEATH, AND PROPERTY DAMAGE ARISING OUT OF OR RELATING TO:

YOUR USE OR INABILITY TO USE THE SERVICES;
FISHING, BOATING, TRAVEL, OR RECREATIONAL ACTIVITY;
VESSEL OR VEHICLE OPERATION;
RELIANCE ON MAPS, TRACKS, ROUTES, LOCATION INFORMATION, BACKGROUND TRACKING, DATA, FORECASTS, RECOMMENDATIONS, ALERTS, OR AUTOMATED OUTPUT;
INACCURATE, DELAYED, INCOMPLETE, INTERRUPTED, OR LOST INFORMATION;
FAILURE OF LOCATION OR BACKGROUND-TRACKING FUNCTIONALITY;
FAILURE TO DETECT OR REPORT AN EMERGENCY;
FAILURE TO WARN ABOUT A HAZARD;
CONDITIONS AT A WATERWAY OR LOCATION;
THIRD-PARTY DATA OR CONTENT; OR
THE INHERENT RISKS OF OUTDOOR AND MARINE ACTIVITIES.

THIS RELEASE EXPRESSLY INCLUDES CLAIMS ALLEGING ORDINARY NEGLIGENCE BY A RELEASED PARTY, INCLUDING ORDINARY NEGLIGENCE CONTRIBUTING TO PERSONAL INJURY, DEATH, PROPERTY DAMAGE, A NAVIGATION ERROR, GROUNDING, COLLISION, DELAY, DATA LOSS, OR FAILURE OF A LOCATION OR TRACKING FEATURE, TO THE FULLEST EXTENT SUCH CLAIMS MAY LAWFULLY BE RELEASED.

This release does not apply to liability that applicable law prohibits us from releasing, including liability to the extent caused by intentional misconduct, fraud, gross negligence, or other conduct that cannot lawfully be excluded.

20. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL MAPS, DATA, TRACKS, LOCATION INFORMATION, FORECASTS, RECOMMENDATIONS, AUTOMATED OUTPUT, CONTENT, AND FEATURES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

The Released Parties disclaim all express, implied, and statutory warranties, including warranties of:

Accuracy;
Completeness;
Availability;
Reliability;
Safety;
Merchantability;
Fitness for a particular purpose;
Title;
Non-infringement;
Quiet enjoyment; and
Course of dealing or usage.

SpotOn Fishing does not warrant that the Services will be uninterrupted, error-free, secure, current, or free from data loss.

21. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE RELEASED PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF USE, LOSS OF GOODWILL, BUSINESS INTERRUPTION, RESCUE COSTS, RECOVERY COSTS, OR OTHER SIMILAR LOSSES ARISING OUT OF OR RELATING TO THE SERVICES.

To the fullest extent permitted by law, the total aggregate liability of the Released Parties for all claims arising out of or relating to the Services or these Terms will not exceed the greater of:

The amount you paid directly for SpotOn Fishing during the 12 months immediately before the event giving rise to the claim; or
One hundred United States dollars.

Nothing in this section limits liability that cannot lawfully be limited.

Where a jurisdiction does not permit an exclusion or limitation, the exclusion or limitation applies only to the maximum extent legally permitted.

22. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the Released Parties from claims, proceedings, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

Your use or misuse of the Services;
Your fishing, boating, travel, or recreational activity;
Your vessel or vehicle operation;
Your violation of these Terms;
Your violation of law;
Your content;
Your infringement of another person’s rights;
Your sharing of information;
Your acts or omissions; or
Injury, death, or property damage caused by you.

This obligation does not require you to indemnify a party to the extent prohibited by applicable law or to the extent a final, non-appealable determination finds that the claim was caused solely by that party’s gross negligence or willful misconduct.

This obligation survives termination of your account and your use of the Services.

23. Insurance

You are responsible for maintaining appropriate:

Vessel insurance;
Vehicle insurance;
Liability insurance;
Property insurance;
Health insurance; and
Other insurance suitable for your activities.

SpotOn Fishing does not provide insurance and does not assume responsibility for an uninsured or underinsured loss.

24. User Content

You retain ownership of eligible content you create.

By submitting, uploading, synchronizing, publishing, or sharing content through the Services, you grant Argo Technologies a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, format, transmit, display, and technically modify that content as necessary to:

Provide the Services;
Synchronize content;
Display content to audiences you select;
Operate and improve features;
Enforce these Terms;
Investigate abuse; and
Meet legal obligations.

For private content, this license is limited to operating, maintaining, securing, and supporting the Services.

For content that you intentionally make public, the license also allows us to display, distribute, and promote that public content as part of the Services.

This license ends when content is deleted from active systems, except for information retained in backups, previously shared with others, or lawfully retained.

You represent that you possess the rights necessary to submit the content.

25. Prohibited Conduct

You may not:

Use the Services unlawfully;
Use the Services as the sole means of navigation or emergency response;
Interfere with the Services’ security or operation;
Circumvent access controls;
Reverse engineer the Services except where law expressly permits;
Scrape or systematically extract proprietary information;
Redistribute maps or data without permission;
Remove copyright, trademark, or attribution notices;
Upload malware;
Access another person’s account;
Misrepresent your identity;
Infringe intellectual-property or privacy rights;
Use automated systems in a manner that burdens the Services;
Sell or commercially exploit access without authorization;
Use the Services to harm, stalk, surveil, or unlawfully track another person;
Upload unlawful, threatening, abusive, obscene, defamatory, fraudulent, or privacy-invasive content; or
Encourage another person to violate these Terms.

26. Intellectual Property

The Services, including software, design, text, maps, graphics, trademarks, databases, features, and original content, are owned by or licensed to Argo Technologies and protected by applicable law.

“SpotOn Fishing,” “SpotBot AI,” associated logos, and related branding may not be used without authorization.

Third-party content remains subject to the rights of its respective owner.

27. Subscriptions, Free Trials, and Payments

Subscriptions may be offered through Apple, Google, another app store, or another authorized payment provider.

Unless otherwise stated:

Subscription fees are charged in advance;
Subscriptions automatically renew until canceled;
Renewal occurs according to the applicable provider’s rules;
You must cancel before renewal to avoid the next charge;
Deleting the App does not cancel a subscription;
Deleting your account does not necessarily cancel a store subscription;
Prices may change following legally required notice; and
Refunds are governed by applicable law and the applicable payment provider’s rules.

A free trial converts to a paid subscription at the end of the stated trial period unless canceled before the trial expires.

Annual and monthly subscription fees are non-refundable except where required by law or applicable app-store rules.

28. Account Deletion

You may request deletion of your SpotOn Fishing account through:

The account or settings section of the App;
https://spoton-fishing-71298.web.app/delete-account/; or
info@SpotOn.Fishing if you cannot access the deletion process.

Account deletion permanently removes or de-identifies account-associated information except for limited records that may be retained for legal, accounting, security, fraud-prevention, chargeback, dispute-resolution, or enforcement purposes.

Deleting your account does not automatically cancel an Apple, Google Play, or other third-party subscription. You must separately cancel the subscription through the applicable provider.

29. Changes to the Services

We may:

Add or remove features;
Modify data sources;
Change subscription offerings;
Suspend features;
Perform maintenance;
Stop supporting devices;
Modify compatibility; or
Discontinue all or part of the Services.

We do not guarantee that a particular feature, map, dataset, or provider will remain available.

30. Suspension and Termination

We may suspend or terminate access when reasonably necessary because of:

A violation of these Terms;
Fraud;
Abuse;
Security risk;
Nonpayment;
Legal requirements;
Harm to users or third parties; or
Discontinuation of the Services.

Sections intended to survive termination remain effective, including ownership, disclaimers, releases, liability limitations, indemnification, dispute resolution, and governing law.

31. Changes to These Terms

We may update these Terms to reflect changes in the Services, law, technology, data practices, or business operations.

We will update the “Last Updated” date when changes are made.

Where appropriate or legally required, we may provide notice through the App, website, email, or another reasonable method.

Material changes may require renewed affirmative acceptance.

32. Informal Dispute Resolution

Before initiating arbitration or litigation, you and Argo Technologies agree to attempt informal resolution.

The complaining party must send written notice containing:

The claimant’s name;
The relevant account email;
A description of the dispute;
The factual basis for the claim;
The requested relief; and
Contact information.

Notices to Argo Technologies must be sent to info@SpotOn.Fishing with the subject line “Legal Dispute Notice.”

The parties will have 30 days after receipt to attempt resolution before arbitration may begin, unless temporary or emergency injunctive relief is reasonably necessary.

33. Binding Individual Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHT TO GO TO COURT.

Except for eligible small-claims matters and requests for temporary or emergency injunctive relief involving intellectual property, security, unauthorized access, or misuse of the Services, disputes arising out of or relating to:

The Services;
These Terms;
The Privacy Policy;
Your relationship with Argo Technologies;
Contract claims;
Tort claims;
Negligence claims; or
The interpretation, scope, validity, or enforceability of this arbitration provision

will be resolved through binding individual arbitration administered by JAMS.

Consumer disputes will be administered under the JAMS rules applicable to consumer disputes and the JAMS Consumer Arbitration Minimum Standards in effect when arbitration begins.

The Federal Arbitration Act governs this arbitration agreement.

The arbitration may occur through documents, telephone, video conference, or in person as permitted by applicable JAMS rules.

The arbitrator may award relief available to the individual claimant under applicable law but may not consolidate claims or conduct a class, collective, or representative proceeding.

Unless applicable law or JAMS rules require otherwise, an in-person arbitration will take place in Maryland or at another mutually agreed location. A consumer may participate remotely where permitted by JAMS rules.

Arbitration costs will be allocated according to applicable law and JAMS Consumer Arbitration Minimum Standards. Nothing in these Terms requires a consumer to pay costs that Argo Technologies must bear under those standards.

The arbitrator’s award will be final and binding and may be entered as a judgment in any court possessing jurisdiction.

34. Class-Action and Jury-Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW:

YOU AND ARGO TECHNOLOGIES WAIVE THE RIGHT TO A JURY TRIAL;
CLAIMS MUST BE BROUGHT INDIVIDUALLY;
NEITHER PARTY MAY PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION; AND
AN ARBITRATOR MAY NOT PRESIDE OVER A CLASS OR REPRESENTATIVE PROCEEDING.

The email must include:

Your full name;
Your SpotOn Fishing account email;
A statement that you are opting out of arbitration; and
The date of your request.

Opting out of arbitration does not opt you out of the remaining Terms.

36. Governing Law

Except where applicable consumer law requires otherwise, these Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles.

The Federal Arbitration Act governs the arbitration provisions.

37. Court Venue

For claims that are not subject to arbitration, and except where applicable consumer law requires otherwise, you and Argo Technologies consent to exclusive jurisdiction and venue in the state or federal courts located in Maryland.

38. Non-Waivable Rights

Nothing in these Terms eliminates or restricts a right that cannot lawfully be waived.

If a provision is invalid or unenforceable in a particular jurisdiction, it will be enforced to the maximum extent permitted without invalidating the remaining provisions.

39. Apple App Store Terms

When SpotOn Fishing is obtained through Apple:

These Terms are between you and Argo Technologies, not Apple;
Argo Technologies, not Apple, is responsible for SpotOn Fishing and its content;
Apple has no obligation to provide maintenance or support;
Argo Technologies is responsible for addressing valid product, legal, and intellectual-property claims to the extent required by law;
Your license is limited to Apple-branded products you own or control as permitted by Apple’s applicable rules;
You represent that you are not located in a country subject to an applicable United States embargo and are not listed on an applicable prohibited-party list; and
Apple and its subsidiaries are intended third-party beneficiaries of the applicable provisions of these Terms.

40. Google Play Terms

When SpotOn Fishing is obtained through Google Play:

These Terms are between you and Argo Technologies, not Google;
Google is not responsible for SpotOn Fishing;
Google has no obligation to provide maintenance or support; and
Google Play terms may also apply to your download, purchase, and use.

41. Assignment

You may not assign your rights under these Terms without our written consent.

Argo Technologies may assign these Terms in connection with a merger, acquisition, financing, sale, reorganization, or transfer of the Services or business.

42. Severability

If a provision is found invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective.

43. No Waiver

Failure to enforce a provision does not waive the right to enforce it later.

44. Entire Agreement

These Terms, the Privacy Policy, and applicable feature-specific terms constitute the entire agreement between you and Argo Technologies concerning SpotOn Fishing and supersede previous agreements concerning the same subject.

These Terms and Conditions constitute a legally binding agreement between you and Argo Technologies, LLC (“Argo Technologies,” “we,” “us,” or “our”) and govern your use of the SpotOn Fishing application and related services (“SpotOn Fishing” or the “Service”).

These Terms govern your use of:

The SpotOn Fishing mobile application;
SpotBot AI;
SpotOn Fishing websites;
Maps and fishing information;
Tracks, trips, voyages, routes, waypoints, reports, and journals;
Background Tracking;
Subscription services; and
Other products or services that link to these Terms.

Together, these are referred to as the “Services.”

IMPORTANT SAFETY AND LEGAL NOTICE

SPOTON FISHING IS A RECREATIONAL FISHING, MAPPING, INFORMATION, AND TRIP-RECORDING PRODUCT.

SPOTON FISHING IS NOT:

AN OFFICIAL NAUTICAL CHART;
A CERTIFIED MARINE NAVIGATION SYSTEM;
AN ELECTRONIC CHART DISPLAY AND INFORMATION SYSTEM;
A COLLISION-AVOIDANCE SYSTEM;
AN EMERGENCY-MONITORING SYSTEM;
A DISTRESS BEACON;
A SEARCH-AND-RESCUE SERVICE;
A SUBSTITUTE FOR PROPER SEAMANSHIP; OR
A LIFE-SAFETY SERVICE.

NEVER USE SPOTON FISHING AS THE SOLE OR PRIMARY MEANS OF NAVIGATION, COLLISION AVOIDANCE, EMERGENCY COMMUNICATION, OR PROTECTION OF LIFE OR PROPERTY.

1. Acceptance of Terms

These Terms;
The SpotOn Fishing Privacy Policy;
Applicable app-store terms; and
Additional terms presented for a particular feature.

If you do not agree, do not access or use the Services.

We may require renewed affirmative acceptance following a material update involving safety, location, privacy, liability, subscription, or dispute-resolution terms.

2. Eligibility

You must be legally capable of entering into a binding agreement.

If you use the Services for or on behalf of a company or organization, you represent that you possess authority to bind that organization.

The Services are not directed to children under 13 or a higher minimum age where applicable law requires parental authorization.

3. Accounts and Account Security

You are responsible for:

Providing accurate account information;
Keeping account information current;
Protecting login credentials;
Activities occurring through your account; and
Promptly notifying us of suspected unauthorized access.

You may not sell, assign, sublicense, or transfer your account without our written permission.

We may refuse usernames or account information that could create impersonation, safety, fraud, legal, or security risks.

4. Limited License

No ownership rights are transferred to you.

5. Recreational Fishing and Planning Purposes Only

The Services are intended to assist with:

Recreational fishing research;
General fishing-trip planning;
Displaying fishing and environmental information;
Recording tracks, trips, and voyages;
Saving waypoints and routes;
Reviewing conditions, reports, and recommendations; and
Other non-safety-critical purposes.

The Services must not be used as the sole or primary basis for deciding:

Where or how to navigate;
Whether water is safe or passable;
Whether a route is legally accessible;
Whether a vessel can clear an obstruction;
Whether water depth is sufficient;
Whether weather, tide, current, or sea conditions are safe;
Whether a location is free from hazards;
Whether emergency assistance is available;
Whether fishing is lawful in a particular place or at a particular time; or
Whether an activity is safe for you, passengers, vessels, vehicles, or property.

6. Official Charts and Authoritative Information

Always use:

Current official nautical charts;
Current notices to mariners;
Properly maintained marine navigation equipment;
Visual observations;
Depth sounders where appropriate;
Radar, AIS, compass, and other appropriate instruments;
Official weather and emergency information;
Current fishing and boating regulations; and
The judgment of a qualified vessel operator.

Information displayed through SpotOn Fishing may omit hazards, restrictions, notices, changes, warnings, or details contained in official sources.

Displaying government, public, licensed, or third-party information does not make SpotOn Fishing an official chart, certified navigation product, or official regulatory publication.

7. No Emergency, Rescue, or Monitoring Service

SpotOn Fishing is not:

An emergency beacon;
An emergency position-indicating radio beacon;
A personal locator beacon;
A satellite distress messenger;
A vessel-monitoring center;
A man-overboard system;
A collision-alert system;
A medical-alert service; or
A search-and-rescue provider.

SpotOn Fishing does not assume or undertake a duty to:

Monitor your location;
Monitor your track, trip, or voyage;
Determine whether you are safe;
Detect an accident;
Detect a collision, grounding, or capsize;
Detect a person-overboard event;
Detect a medical emergency;
Detect equipment failure;
Contact emergency services;
Notify family members or other persons;
Dispatch assistance;
Initiate a rescue;
Preserve evidence; or
Maintain location information for emergency use.

Your location information may not be monitored or reviewed by any person in real time.

Never rely on SpotOn Fishing to summon assistance. Carry suitable emergency and communication equipment and use official emergency channels.

8. Maps, Depths, Boundaries, and Data Limitations

Maps and information may contain errors, omissions, delays, approximations, generalized features, or outdated information.

SpotOn Fishing does not warrant the accuracy, completeness, location, condition, or existence of:

Shorelines;
Depth contours;
Bottom features;
Reefs;
Rocks;
Wrecks;
Shoals;
Channels;
Bridges;
Obstructions;
Buoys;
Aids to navigation;
Restricted areas;
Property boundaries;
Marine boundaries;
Fishing zones;
Regulatory boundaries;
Structures;
Boat ramps;
Marinas;
Weather;
Tides;
Currents;
Water temperature;
Chlorophyll;
Satellite imagery;
Fishing reports;
Fishing predictions;
User content; or
Other displayed information.

Actual conditions may differ materially from the Services.

9. Conditions Change

Water, marine, weather, regulatory, and environmental conditions can change rapidly.

A location or route that was previously accessible may become dangerous or unlawful because of:

Water-level changes;
Tides;
Currents;
Sedimentation;
Shoaling;
Storm damage;
Debris;
Construction;
Closures;
Temporary restrictions;
Changes to markers or aids;
Weather;
Vessel traffic;
Wildlife;
Equipment limitations; or
Other conditions.

You are solely responsible for independently evaluating current conditions.

10. Tracks and Location History Are Not Safe Routes

A track, trip, voyage, route, location history, or previously traveled path is only a software-generated historical reference.

A prior track does not establish that:

The route was safe when originally traveled;
The original location information was accurate;
The route remains safe;
The route is navigable by your vessel;
The route remains legally available;
Water depth is sufficient;
Hazards have not moved or appeared;
Conditions remain unchanged; or
Repeating the route will produce the same result.

Never follow a previous track blindly.

You remain responsible for continuous observation, maintaining a proper lookout, using appropriate navigation and safety equipment, and safely operating your vessel or vehicle.

11. Manual Tracks and Background Tracking

SpotOn Fishing may provide:

A manually initiated Track, Trip, Voyage, or similar recording feature; and
A separate Background Tracking feature using background or “Always” location access.

Stopping, saving, pausing, or ending a manual track does not necessarily disable Background Tracking.

If Background Tracking remains enabled, SpotOn Fishing may continue accessing or collecting location when:

No manual track is active;
SpotOn Fishing is minimized;
The screen is locked;
SpotOn Fishing is closed or not actively in use, subject to operating-system limitations; or
You later reopen SpotOn Fishing.

Background Tracking may allow SpotOn Fishing to preserve where you have traveled and resume or restore your location experience when you return to the App.

You are responsible for reviewing the Background Tracking status and applicable device permissions.

Do not assume that selecting “Stop Track,” “End Track,” or a similar control revokes all location access.

To stop Background Tracking, turn it off through SpotOn Fishing or revoke the applicable background or “Always” location permission through your device settings.

12. Location and Tracking Technology Limitations

Location and tracking operation may be interrupted, delayed, inaccurate, incomplete, or lost due to:

GPS or satellite availability;
Device hardware or sensors;
Device placement;
Battery level;
Power-saving settings;
Operating-system restrictions;
Background-execution limitations;
App permissions;
Cellular or internet coverage;
Server outages;
Network interruptions;
Software defects;
Updates;
Account synchronization;
Third-party services;
Weather;
Atmospheric conditions;
Terrain;
Buildings;
Vessel structures; or
Other circumstances outside SpotOn Fishing’s control.

SpotOn Fishing does not warrant that:

A track will start;
A track will continue;
A track will stop at a particular moment;
Location history will be complete;
The displayed position is exact;
Information will synchronize;
A track will be preserved;
The App will restore the correct position;
Background Tracking will operate continuously; or
Any missing or interrupted location history can be recovered.

13. Weather, Tides, Currents, and Environmental Information

Weather, tide, current, sea-state, temperature, chlorophyll, satellite, model, and environmental information may be:

Delayed;
Forecast;
Modeled;
Estimated;
Interpolated;
Incomplete;
Unavailable; or
Incorrect.

Do not rely on SpotOn Fishing as your sole source for weather or marine conditions.

Obtain information from authoritative sources and continuously observe actual conditions.

14. Fishing Information and Regulations

Fishing seasons, size limits, bag limits, protected species, closures, licensing requirements, and boundaries may change.

You are solely responsible for:

Obtaining required licenses and permits;
Confirming current regulations;
Identifying species correctly;
Following size and bag limits;
Avoiding closed or prohibited areas;
Complying with reporting requirements; and
Following all applicable laws.

SpotOn Fishing does not provide legal advice and does not guarantee that regulatory information is current, complete, or accurate.

15. SpotBot AI and Automated Recommendations

SpotBot AI and other automated tools may generate predictions, summaries, recommendations, locations, tactics, or explanations using models and available information.

Automated output may:

Be inaccurate;
Be incomplete;
Be outdated;
Misinterpret your request;
Omit hazards;
Suggest an unsuitable location;
Contain fabricated information; or
Fail to account for current conditions.

Automated output must not be used as the sole or primary basis for navigation, safety, emergency, legal, regulatory, medical, or life-safety decisions.

You are responsible for independently verifying all automated output.

16. Third-Party Information, Services, and Products

The Services may incorporate or link to information, services, or products from:

Government agencies;
Public databases;
Mapping providers;
Chart providers;
Weather providers;
Satellite providers;
Marine-data providers;
Fishing-data providers;
Artificial-intelligence providers;
Other users; and
Other third parties.

Third parties are independent entities and are not employees, agents, or partners of Argo Technologies merely because their information or services appear through SpotOn Fishing.

To the fullest extent permitted by law, the Released Parties are not responsible for independent third-party:

Acts or omissions;
Errors;
Defects;
Data inaccuracies;
Availability;
Security;
Products;
Services;
Representations;
Warranties; or
Business practices.

Third-party licenses, terms, notices, and attribution requirements may apply.

17. Safe and Lawful Operation

You are solely responsible for:

Safe vessel and vehicle operation;
Proper seamanship;
Maintaining a proper lookout;
Avoiding collisions;
Monitoring water depth and actual conditions;
Selecting safe and lawful routes;
Maintaining your vessel, vehicle, and equipment;
Carrying legally required safety equipment;
Carrying appropriate emergency communication equipment;
Protecting passengers and other persons;
Following instructions from authorities;
Following fishing, boating, environmental, traffic, and maritime laws;
Determining whether your experience and ability are adequate; and
Determining whether conditions are appropriate for an activity.

Do not hold, type into, configure, or extensively interact with the Services while actively maneuvering a vessel or vehicle.

Use a qualified passenger or stop in a safe and lawful location before interacting with the Services when interaction could cause distraction.

18. Assumption of Risk

Fishing, boating, diving, paddling, travel, and outdoor recreation involve inherent and unpredictable risks.

Risks include:

Drowning;
Collision;
Grounding;
Capsizing;
Falls;
Personal injury;
Illness;
Death;
Property damage;
Equipment failure;
Weather exposure;
Lightning;
Heat;
Cold;
Wildlife;
Submerged or unmarked hazards;
Vessel traffic;
Loss of communication;
Loss of location services;
Inaccurate information; and
Delayed emergency assistance.

To the fullest extent permitted by law, you knowingly and voluntarily assume all risks associated with:

Your use of the Services;
Your fishing, boating, travel, or recreational activities;
Your operation of a vessel or vehicle;
Your decision to visit any displayed or suggested location;
Your reliance on maps, tracks, routes, location history, reports, recommendations, automated output, forecasts, or third-party information; and
The inherent risks of outdoor and marine activity.

19. Express Release of Ordinary Negligence Claims

YOUR USE OR INABILITY TO USE THE SERVICES;
FISHING, BOATING, TRAVEL, OR RECREATIONAL ACTIVITY;
VESSEL OR VEHICLE OPERATION;
RELIANCE ON MAPS, TRACKS, ROUTES, LOCATION INFORMATION, BACKGROUND TRACKING, DATA, FORECASTS, RECOMMENDATIONS, ALERTS, OR AUTOMATED OUTPUT;
INACCURATE, DELAYED, INCOMPLETE, INTERRUPTED, OR LOST INFORMATION;
FAILURE OF LOCATION OR BACKGROUND-TRACKING FUNCTIONALITY;
FAILURE TO DETECT OR REPORT AN EMERGENCY;
FAILURE TO WARN ABOUT A HAZARD;
CONDITIONS AT A WATERWAY OR LOCATION;
THIRD-PARTY DATA OR CONTENT; OR
THE INHERENT RISKS OF OUTDOOR AND MARINE ACTIVITIES.

20. Disclaimer of Warranties

The Released Parties disclaim all express, implied, and statutory warranties, including warranties of:

Accuracy;
Completeness;
Availability;
Reliability;
Safety;
Merchantability;
Fitness for a particular purpose;
Title;
Non-infringement;
Quiet enjoyment; and
Course of dealing or usage.

SpotOn Fishing does not warrant that the Services will be uninterrupted, error-free, secure, current, or free from data loss.

21. Limitation of Liability

To the fullest extent permitted by law, the total aggregate liability of the Released Parties for all claims arising out of or relating to the Services or these Terms will not exceed the greater of:

The amount you paid directly for SpotOn Fishing during the 12 months immediately before the event giving rise to the claim; or
One hundred United States dollars.

Nothing in this section limits liability that cannot lawfully be limited.

Where a jurisdiction does not permit an exclusion or limitation, the exclusion or limitation applies only to the maximum extent legally permitted.

22. Indemnification

Your use or misuse of the Services;
Your fishing, boating, travel, or recreational activity;
Your vessel or vehicle operation;
Your violation of these Terms;
Your violation of law;
Your content;
Your infringement of another person’s rights;
Your sharing of information;
Your acts or omissions; or
Injury, death, or property damage caused by you.

This obligation survives termination of your account and your use of the Services.

23. Insurance

You are responsible for maintaining appropriate:

Vessel insurance;
Vehicle insurance;
Liability insurance;
Property insurance;
Health insurance; and
Other insurance suitable for your activities.

SpotOn Fishing does not provide insurance and does not assume responsibility for an uninsured or underinsured loss.

24. User Content

You retain ownership of eligible content you create.

Provide the Services;
Synchronize content;
Display content to audiences you select;
Operate and improve features;
Enforce these Terms;
Investigate abuse; and
Meet legal obligations.

For private content, this license is limited to operating, maintaining, securing, and supporting the Services.

For content that you intentionally make public, the license also allows us to display, distribute, and promote that public content as part of the Services.

This license ends when content is deleted from active systems, except for information retained in backups, previously shared with others, or lawfully retained.

You represent that you possess the rights necessary to submit the content.

25. Prohibited Conduct

You may not:

Use the Services unlawfully;
Use the Services as the sole means of navigation or emergency response;
Interfere with the Services’ security or operation;
Circumvent access controls;
Reverse engineer the Services except where law expressly permits;
Scrape or systematically extract proprietary information;
Redistribute maps or data without permission;
Remove copyright, trademark, or attribution notices;
Upload malware;
Access another person’s account;
Misrepresent your identity;
Infringe intellectual-property or privacy rights;
Use automated systems in a manner that burdens the Services;
Sell or commercially exploit access without authorization;
Use the Services to harm, stalk, surveil, or unlawfully track another person;
Upload unlawful, threatening, abusive, obscene, defamatory, fraudulent, or privacy-invasive content; or
Encourage another person to violate these Terms.

26. Intellectual Property

The Services, including software, design, text, maps, graphics, trademarks, databases, features, and original content, are owned by or licensed to Argo Technologies and protected by applicable law.

“SpotOn Fishing,” “SpotBot AI,” associated logos, and related branding may not be used without authorization.

Third-party content remains subject to the rights of its respective owner.

27. Subscriptions, Free Trials, and Payments

Subscriptions may be offered through Apple, Google, another app store, or another authorized payment provider.

Unless otherwise stated:

Subscription fees are charged in advance;
Subscriptions automatically renew until canceled;
Renewal occurs according to the applicable provider’s rules;
You must cancel before renewal to avoid the next charge;
Deleting the App does not cancel a subscription;
Deleting your account does not necessarily cancel a store subscription;
Prices may change following legally required notice; and
Refunds are governed by applicable law and the applicable payment provider’s rules.

A free trial converts to a paid subscription at the end of the stated trial period unless canceled before the trial expires.

Annual and monthly subscription fees are non-refundable except where required by law or applicable app-store rules.

28. Account Deletion

You may request deletion of your SpotOn Fishing account through:

The account or settings section of the App;

info@SpotOn.Fishing if you cannot access the deletion process.

Deleting your account does not automatically cancel an Apple, Google Play, or other third-party subscription. You must separately cancel the subscription through the applicable provider.

29. Changes to the Services

We may:

Add or remove features;
Modify data sources;
Change subscription offerings;
Suspend features;
Perform maintenance;
Stop supporting devices;
Modify compatibility; or
Discontinue all or part of the Services.

We do not guarantee that a particular feature, map, dataset, or provider will remain available.

30. Suspension and Termination

We may suspend or terminate access when reasonably necessary because of:

A violation of these Terms;
Fraud;
Abuse;
Security risk;
Nonpayment;
Legal requirements;
Harm to users or third parties; or
Discontinuation of the Services.

Sections intended to survive termination remain effective, including ownership, disclaimers, releases, liability limitations, indemnification, dispute resolution, and governing law.

31. Changes to These Terms

We may update these Terms to reflect changes in the Services, law, technology, data practices, or business operations.

We will update the “Last Updated” date when changes are made.

Where appropriate or legally required, we may provide notice through the App, website, email, or another reasonable method.

Material changes may require renewed affirmative acceptance.

32. Informal Dispute Resolution

Before initiating arbitration or litigation, you and Argo Technologies agree to attempt informal resolution.

The complaining party must send written notice containing:

The claimant’s name;
The relevant account email;
A description of the dispute;
The factual basis for the claim;
The requested relief; and
Contact information.

Notices to Argo Technologies must be sent to info@SpotOn.Fishing with the subject line “Legal Dispute Notice.”

The parties will have 30 days after receipt to attempt resolution before arbitration may begin, unless temporary or emergency injunctive relief is reasonably necessary.

33. Binding Individual Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHT TO GO TO COURT.

The Services;
These Terms;
The Privacy Policy;
Your relationship with Argo Technologies;
Contract claims;
Tort claims;
Negligence claims; or
The interpretation, scope, validity, or enforceability of this arbitration provision

will be resolved through binding individual arbitration administered by JAMS.

Consumer disputes will be administered under the JAMS rules applicable to consumer disputes and the JAMS Consumer Arbitration Minimum Standards in effect when arbitration begins.

The Federal Arbitration Act governs this arbitration agreement.

The arbitration may occur through documents, telephone, video conference, or in person as permitted by applicable JAMS rules.

The arbitrator may award relief available to the individual claimant under applicable law but may not consolidate claims or conduct a class, collective, or representative proceeding.

The arbitrator’s award will be final and binding and may be entered as a judgment in any court possessing jurisdiction.

34. Class-Action and Jury-Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW:

YOU AND ARGO TECHNOLOGIES WAIVE THE RIGHT TO A JURY TRIAL;
CLAIMS MUST BE BROUGHT INDIVIDUALLY;
NEITHER PARTY MAY PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION; AND
AN ARBITRATOR MAY NOT PRESIDE OVER A CLASS OR REPRESENTATIVE PROCEEDING.

Apple and its subsidiaries are intended third-party beneficiaries of the applicable provisions of these Terms.

40. Google Play Terms

When SpotOn Fishing is obtained through Google Play:

These Terms are between you and Argo Technologies, not Google;
Google is not responsible for SpotOn Fishing;
Google has no obligation to provide maintenance or support; and
Google Play terms may also apply to your download, purchase, and use.

41. Assignment

You may not assign your rights under these Terms without our written consent.

Argo Technologies may assign these Terms in connection with a merger, acquisition, financing, sale, reorganization, or transfer of the Services or business.

42. Severability

If a provision is found invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective.

43. No Waiver

Failure to enforce a provision does not waive the right to enforce it later.

SpotOn Fishing and SpotBot AI are owned and operated by Argo Technologies, LLC, doing business as SpotOn Fishing (“SpotOn Fishing,” “Argo Technologies,” “we,” “us,” or “our”).

This Privacy Policy explains how we access, collect, use, process, store, disclose, retain, and protect information when you use:

The SpotOn Fishing mobile application;
SpotBot AI;
SpotOn Fishing websites;
Fishing maps and data;
Tracks, trips, voyages, routes, waypoints, reports, and journals;
Background Tracking;
Subscription services; and
Other products or services that link to this Privacy Policy.

Together, these are referred to as the “Services.”

This Privacy Policy forms part of the SpotOn Fishing Terms and Conditions. By creating an account or using the Services, you acknowledge the practices described in this Privacy Policy.

1. Information We Collect

1.1 Account Information

When you create, access, or manage a SpotOn Fishing account, we may collect:

Your name;
Email address;
Username;
Account or user identifier;
Authentication information;
Account preferences;
Communication preferences;
Subscription status; and
Other information you voluntarily add to your account.

Passwords may be processed through an authentication service provider. SpotOn Fishing does not intend to store user passwords in readable form.

1.2 Subscription and Transaction Information

Purchases may be processed by Apple, Google, another app store, or an authorized payment provider.

Depending on the transaction, we may receive:

Subscription product or plan;
Free-trial status;
Subscription status;
Purchase, renewal, and expiration dates;
Transaction or receipt identifiers;
Cancellation or refund status;
General transaction region; and
Limited billing, tax, accounting, or fraud-prevention information.

When payment information is entered directly into an app store or payment provider’s system, SpotOn Fishing generally does not receive or store the complete payment-card number.

1.3 Foreground Location Information

With your permission, SpotOn Fishing may access approximate or precise location information while you are actively using the App.

We may use foreground location information to:

Display your position on a fishing map;
Center maps around your location;
Display nearby fishing, weather, marine, and environmental information;
Create waypoints;
Save fishing locations;
Record a track, trip, or voyage;
Calculate route, distance, duration, speed, course, heading, or direction;
Display content relevant to your current area; and
Provide other location-based features requested by you.

1.4 Manually Recorded Tracks, Trips, and Voyages

When you manually start a Track, Trip, Voyage, or similar recording feature, SpotOn Fishing may collect and store:

Precise or approximate geographic coordinates;
Dates and timestamps;
Route and movement history;
Starting and ending locations;
Distance and duration;
Speed, heading, course, or direction;
Track, trip, or voyage names;
Notes, catches, photos, and other associated content; and
Technical information needed to record, display, save, export, restore, or synchronize the activity.

A manually initiated track may continue recording when:

SpotOn Fishing is minimized;
You switch to another application;
Your device screen is locked;
Your display is turned off; or
SpotOn Fishing is not actively visible.

This allows SpotOn Fishing to preserve a more complete track while you are fishing or traveling.

1.5 Background Tracking and “Always” Location Access

SpotOn Fishing may offer an optional feature referred to as Background Tracking.

If you enable Background Tracking and grant SpotOn Fishing permission to access your location at all times, SpotOn Fishing may access and collect approximate or precise location information:

While SpotOn Fishing is open;
While SpotOn Fishing is running in the background;
When SpotOn Fishing is closed or not actively in use, subject to operating-system limitations;
While your screen is locked;
When you are not actively viewing the map;
When no manually recorded track is active; and
After you stop, save, pause, or end an individual manually recorded track.

Background Tracking allows SpotOn Fishing to preserve recent movement information, reopen or resume the location experience, and display where you have traveled when you return to the App.

Stopping, saving, pausing, or ending an individual manually recorded track does not automatically turn off Background Tracking.

Background Tracking may remain active until you:

Turn off Background Tracking through SpotOn Fishing;
Revoke SpotOn Fishing’s “Always,” background, or equivalent location permission through your device settings;
Delete your account where account deletion disables the feature;
Uninstall the App, subject to previously synchronized or retained information; or
Otherwise disable the feature through a control provided by SpotOn Fishing or your operating system.

Granting SpotOn Fishing permission to use location “Always” does not necessarily mean that a named manual track is still being recorded. Manual track recording and Background Tracking are separate functions.

SpotOn Fishing will not represent that all location collection has stopped merely because you stopped an individual manual track while Background Tracking remains enabled.

Background Tracking is optional. Declining Background Tracking may limit automatic trip-history, route-restoration, and continuous location features, but other available SpotOn Fishing features may remain usable.

1.6 Background-Location Indicators

Depending on your device, operating system, settings, and type of location activity, you may see:

An Android ongoing notification;
An Android or iOS location icon;
An iOS location-use indicator;
A message or setting within SpotOn Fishing;
A device-level reminder concerning background location; or
A system settings notice.

Some indicators are controlled by Apple, Google, or the device manufacturer rather than SpotOn Fishing.

1.7 Location Accuracy and Availability

Location information may be inaccurate, incomplete, delayed, interrupted, or unavailable due to:

GPS or satellite availability;
Device hardware or sensors;
Device placement;
Battery level;
Power-saving settings;
Operating-system restrictions;
Background-execution restrictions;
App permissions;
Cellular or internet coverage;
Server or network interruptions;
Atmospheric or weather conditions;
Buildings, terrain, vessel structures, or other obstructions;
Software defects;
Third-party services; and
Other circumstances outside our control.

Location information, tracks, routes, trips, voyages, and background-location history must not be relied upon for marine navigation, emergency response, collision avoidance, rescue, or any life-safety purpose.

1.8 Location Storage and Synchronization

Depending on the feature, account status, and device configuration, location, track, trip, voyage, and Background Tracking information may be:

Processed or stored on your device;
Transmitted to SpotOn Fishing servers;
Associated with your SpotOn Fishing account;
Synchronized among devices;
Stored through contracted cloud providers;
Temporarily cached to operate the Services;
Exported at your direction; or
Shared at your direction.

If you use a feature without signing in, some information may remain only on the applicable device unless it is later synchronized, exported, shared, or submitted.

1.9 Waypoints, Routes, Reports, and User Content

We may collect information that you create, upload, import, save, synchronize, publish, or submit, including:

Waypoints;
Routes;
Tracks;
Trips and voyage records;
Saved fishing locations;
Fishing reports;
Catch information;
Journal entries;
Notes;
Photos;
Attachments;
Search requests;
Imported GPX or similar files;
Exported content;
Feedback;
Reviews;
Support requests; and
Other user-generated content.

1.10 SpotBot AI Information

When you use SpotBot AI or another artificial-intelligence feature, we may process:

Prompts and questions;
Search requests;
Fishing areas or locations included in a request;
Reports, notes, photos, or other submitted content;
AI-generated responses;
Feedback concerning responses;
Related account information; and
Usage, performance, safety, and diagnostic information.

We may use contracted AI model, infrastructure, cloud, hosting, and analytics providers to process information on our behalf.

Where required by applicable law or platform policy, we will provide notice and obtain the required permission before transmitting personal information to an external AI service provider.

Do not submit confidential, legally protected, or highly sensitive personal information that is unnecessary for your request.

SpotBot AI may produce inaccurate, incomplete, outdated, unsuitable, or fabricated information. SpotBot AI does not provide navigation, legal, regulatory, emergency, medical, or life-safety advice.

1.11 Device, Technical, Usage, and Diagnostic Information

We and our service providers may automatically collect:

Device type and model;
Operating system;
App version;
Device or application identifiers;
IP address;
Language;
Time zone;
General region;
Network and connectivity information;
Dates and times of access;
Screens and features used;
Searches and interactions;
Subscription interactions;
Referring sources;
Crash logs;
Performance information;
Diagnostic events;
Security events;
Failed synchronization events; and
Information concerning errors or interrupted sessions.

1.12 Camera, Photos, Notifications, and Other Device Features

Certain optional features may request access to:

Your camera;
Photos or media;
Notifications;
Files or device storage; or
Other device capabilities.

We access these capabilities only after receiving the applicable device permission and for the user-facing purpose described when permission is requested.

For example, camera or photo access may be used to attach a photo to a fishing report, catch entry, waypoint, journal entry, or support request.

Notification permission may be used to provide account, subscription, feature, weather, tracking-status, or other Service-related notifications.

1.13 Communications and Support

When you contact us, participate in a promotion, respond to a survey, test a beta feature, or request support, we may collect:

Your contact information;
The contents of your communication;
Screenshots or files you provide;
Device and technical details;
Support history; and
Other information you voluntarily submit.

Directly from you;
Automatically from your device;
From Apple, Google, or another app store;
From payment processors;

From cloud-hosting and database providers;
From analytics and crash-reporting providers;
From mapping and location providers;

From other users when they share content with you or about you; and

Operate SpotBot AI;
Process and manage subscriptions;
Provide customer support;
Communicate about accounts, subscriptions, security, and Service changes;
Send marketing communications where legally permitted;
Personalize content and features;
Measure usage and performance;
Diagnose and correct errors;
Improve existing features;
Research, test, and develop new features;
Prevent fraud, abuse, unauthorized access, or security incidents;
Investigate suspected violations of our Terms;
Enforce our agreements;
Comply with legal obligations;
Respond to legal process;
Establish, exercise, or defend legal claims; and
Protect SpotOn Fishing, Argo Technologies, our users, and others.

We may use aggregated or de-identified information for research, analytics, product development, business planning, and other lawful purposes.

We will not attempt to re-identify information maintained as de-identified except where permitted to test, validate, or improve de-identification processes or as otherwise permitted by law.

4. Legal Bases for Processing

Where applicable law requires a legal basis, we rely on one or more of the following:

Performance of a contract: Processing required to provide the Services requested by you.
Consent: Processing based on your permission, including location and device permissions.
Legitimate interests: Operating, securing, supporting, analyzing, and improving the Services where those interests are not overridden by your rights.
Legal obligations: Processing necessary to comply with law or valid legal process.
Protection of rights and safety: Preventing abuse, protecting users, and establishing or defending legal claims.

You may withdraw consent by changing device permissions, disabling the applicable feature, or contacting us. Withdrawal does not affect processing that occurred before consent was withdrawn.

5. How We Disclose Information

5.1 Service Providers

We may disclose information to contracted service providers that support:

Cloud hosting and storage;
Databases;
Authentication;
Analytics;
Crash reporting;
Customer support;
Email and communications;
Payment and subscription processing;
Mapping and location services;
Weather, marine, satellite, environmental, and fishing data;
AI processing;
Fraud prevention;
Security monitoring;
Software development; and
Legal, accounting, insurance, and other professional services.

Service providers may process information only as permitted by their contracts with us and applicable law.

We require service providers that process personal information on our behalf to apply protections that are appropriate to the information and substantially consistent with the protections described in this Privacy Policy.

5.2 App Stores and Payment Providers

Apple, Google, and other payment providers process purchases under their own terms and privacy policies.

We may exchange transaction identifiers, subscription status, product information, and related information with those providers to validate and manage purchases.

5.3 User-Directed Sharing

We may disclose information when you choose to:

Export a track or route;
Export a GPX or similar file;
Share a waypoint;
Share a fishing report, catch, location, trip, or voyage;
Share content with another user;
Connect SpotOn Fishing with another service; or
Otherwise direct us to disclose information.

Recipients may save, copy, retransmit, publish, or misuse information after you share it. Review the intended audience and content before sharing.

5.4 Legal and Safety Disclosures

We may disclose information when reasonably necessary to:

Comply with applicable law;
Respond to legal process, court orders, subpoenas, or governmental requests;
Enforce our agreements;
Investigate fraud, abuse, or security incidents;
Protect rights, property, or safety;
Establish, exercise, or defend legal claims; or
Respond to an emergency where disclosure is legally permitted.

SpotOn Fishing is not an emergency-monitoring service and does not assume a duty to monitor location information or detect emergencies.

5.5 Business Transactions

Information may be transferred or disclosed in connection with:

A merger;
Acquisition;
Financing;
Reorganization;
Bankruptcy;
Sale of assets;
Corporate restructuring; or
Similar business transaction.

Any successor will remain subject to applicable privacy obligations concerning the transferred information.

5.6 No Sale of Personal Information or Precise Location Data

SpotOn Fishing does not sell personal information for monetary consideration.

SpotOn Fishing does not sell precise location information, recorded tracks, trips, voyages, or Background Tracking information.

SpotOn Fishing does not use precise location information, recorded tracks, trips, voyages, or Background Tracking information for third-party targeted advertising or cross-context behavioral advertising.

We may provide information to contracted processors that operate the Services on our behalf. Processing performed solely on our behalf is not intended to constitute a sale of personal information.

6. Third-Party Maps, Data, and Content

The Services may display, process, or incorporate:

Maps;
Charts;
Bathymetry;
Hydrographic information;
Satellite imagery;
Weather information;
Tides and currents;
Environmental models;
Fishing information;
Fishing reports;
Regulatory information;
Geographic or property boundaries;
Points of interest;
User submissions;
Government data;
Public data; and
Commercially licensed information.

Third-party information may be subject to separate licenses, terms, limitations, attribution requirements, availability restrictions, and privacy practices.

The inclusion of third-party information does not necessarily mean that the third-party source receives your personal information.

When a provider processes personal information on our behalf, that processing is governed by our arrangement with the provider and this Privacy Policy. When you independently interact with a third party, the third party’s own privacy policy may apply.

7. Location Controls and User Choices

Depending on your operating system, you may be able to grant:

No location access;
Approximate location;
Precise location;
Location while using the App;
Location while an active background task is running; or
Location at all times.

7.1 Stopping a Manual Track

Stopping, saving, or ending an individual manual track:

Ends or saves that specific manual track;
Does not necessarily revoke location permission;
Does not automatically delete the saved track;
Does not automatically delete previously collected location information; and
Does not turn off Background Tracking if Background Tracking remains enabled.

7.2 Turning Off Background Tracking

To stop future Background Tracking collection, you must:

Turn off Background Tracking through SpotOn Fishing; or
Revoke SpotOn Fishing’s applicable background or “Always” location permission through your device settings.

Turning off Background Tracking:

Stops future collection for that feature after the setting takes effect;
Does not automatically delete previously saved tracks or location history;
Does not cancel a subscription; and
Does not delete your account.

7.3 Deleting Stored Information

You may delete individual tracks, trips, voyages, routes, waypoints, and other supported content through the applicable in-app controls.

Where provided, you may separately delete Background Tracking history through SpotOn Fishing.

Revoking location permission prevents future location access but does not automatically delete information already stored on your device, synchronized to your account, included in backups, exported, or previously shared.

8. Data Retention

We retain information for as long as reasonably necessary to:

Provide the Services;
Maintain your account;
Preserve content you ask us to save;
Comply with law;
Resolve disputes;
Prevent fraud or abuse;
Maintain security;
Enforce agreements; and
Establish or defend legal claims.

Retention may include:

Account information: While your account is active and for a reasonable period afterward when necessary.
Tracks, trips, voyages, routes, waypoints, and Background Tracking history: Until deleted by you, deleted with your account, removed under an applicable product setting, or no longer reasonably necessary.
Transaction information: As required for tax, accounting, subscription, fraud-prevention, chargeback, and legal purposes.
Support communications: For as long as reasonably necessary to resolve and document the matter.
AI prompts and responses: For as long as reasonably necessary to provide, secure, troubleshoot, and improve the applicable AI feature, subject to available deletion controls and legal requirements.
Diagnostics and security logs: For a limited period appropriate to security, troubleshooting, analytics, and fraud prevention.
Backups: Until the relevant backup is overwritten or expires under our backup practices.

We may retain limited information following a deletion request where required or permitted for legal compliance, accounting, security, fraud prevention, dispute resolution, enforcement, or legal claims.

9. Account and Data Deletion

You may request deletion of your SpotOn Fishing account:

Through the account or settings section of the SpotOn Fishing App;
Through our public account-deletion page at https://spoton-fishing-71298.web.app/delete-account/; or
By contacting info@SpotOn.Fishing if you cannot access the available deletion process.

We may require reasonable authentication or identity verification before processing a deletion request to protect accounts from unauthorized deletion.

Deleting your SpotOn Fishing account permanently deletes or de-identifies personal information and user content associated with your account, including applicable:

Profile and account information;
Saved tracks, trips, and voyages;
Background Tracking history;
Routes and waypoints;
Fishing reports and catch records;
Journal entries and notes;
Uploaded photos;
App preferences; and
Other account-associated content.

Deletion requests are processed without unreasonable delay and within any period required by applicable law. Information may remain temporarily in secured backups until the backups are overwritten or expire under our regular backup practices.

Certain limited information may be retained where reasonably necessary or legally required for:

Tax and accounting obligations;
Subscription and transaction records;
Chargebacks;
Fraud prevention;
Security investigations;
Legal compliance;
Dispute resolution; or
Establishing, exercising, or defending legal claims.

Information retained for these purposes will not be used for unrelated advertising or marketing purposes.

Deleting your SpotOn Fishing account does not automatically cancel a subscription purchased through Apple, Google Play, or another payment provider.

You must separately cancel the subscription through the applicable provider to prevent future renewal charges.

Information that you previously exported, publicly posted, or shared with another person may remain in the possession of the recipient.

10. Security

We use reasonable administrative, organizational, and technical safeguards designed to protect information, which may include:

Encryption in transit;
Access controls;
Authentication controls;
Restricted production access;
Logging and monitoring;
Secure development practices;
Security testing;
Backup protections; and
Vendor-management measures.

No application, transmission, network, or storage method can be guaranteed completely secure. We cannot guarantee that unauthorized access, loss, alteration, or disclosure will never occur.

11. International Transfers

Information may be processed in the United States and other countries where we or our service providers operate.

Those countries may have privacy laws that differ from the laws where you live. Where required, we use legally recognized safeguards for international transfers.

Depending on where you live, you may have rights to:

Delete information;

SpotOn Fishing does not sell precise location information, recorded tracks, trips, voyages, or Background Tracking information and does not use that information for cross-context behavioral advertising.

We will not unlawfully discriminate against you for exercising an applicable privacy right.

14. European, United Kingdom, and Similar Privacy Rights

Where applicable, you may have rights to:

Access;
Correction;
Erasure;
Restriction;
Objection;
Portability;
Withdrawal of consent; and
Submit a complaint to the applicable supervisory authority.

When processing is based on legitimate interests, you may request information concerning those interests.

15. Marketing Communications

You may opt out of promotional emails through the unsubscribe link included in the message or by contacting us.

We may continue sending non-promotional communications concerning:

Your account;
Your subscription;
Security;
Service interruptions;
Legal notices; and
Support requests.

16. Cookies and Similar Technologies

Our websites and certain Service components may use cookies, software development kits, pixels, local storage, and similar technologies to:

Maintain sessions;
Remember settings;
Authenticate users;
Measure performance;
Understand usage;
Prevent fraud;
Improve the Services; and
Support communications.

Some third-party code or libraries included in the Services may use similar technologies under their own contractual and privacy obligations.

You may be able to manage cookies through your browser or device settings. Disabling certain technologies may limit functionality.

17. Children’s Privacy

The Services are not directed to children under 13 or a higher minimum age where applicable law requires parental authorization.

We do not knowingly collect personal information from children in violation of applicable law.

A parent or guardian who believes a child has provided personal information may contact info@SpotOn.Fishing. We will take reasonable steps to investigate and delete the information where required.

We will update the “Last Updated” date when changes are made.
